The short version
Mag!c is software, not a restaurant and not a courier. Merchants cook the food and own the legal responsibility for it. Couriers (currently Lalamove) handle delivery and own the legal responsibility for it. We run the platform that connects everyone and the loyalty/ordering layer on top.
The rest of this page explains that in more detail. By creating a merchant or customer account on magic.mise-group.com, or by placing or accepting an order through Mag!c, you agree to these Terms.
Who we are
Mag!c is a service of Mise (“Mag!c,” “we,” “our”). We provide an online ordering and loyalty platform to Filipino food sellers and their customers.
What Mag!c is — and what it isn't
- Mag!c is a technology platform. We run the merchant dashboard, the public storefronts, the POS app (where available), the ordering flow, and the loyalty layer.
- Mag!c is not the restaurant. The food, the items, the prices, the prep, the packaging, the hygiene practices, and the FDA / LGU permits are all the merchant's.
- Mag!c is not the courier. Delivery is booked on the merchant's behalf through Lalamove (or another logistics partner we may add later). The courier is the carrier of record; their own terms govern the ride.
Merchant responsibilities
If you operate a Mag!c shop, you agree that you are responsible for:
- Food safety and quality— prep, storage, handling, allergen disclosure, temperature, and packaging are yours. If a customer gets sick, that's on you, not on Mag!c.
- Accurate listings — descriptions, photos, prices, ingredients, availability, and any allergen or dietary notes must reflect what you actually sell.
- Permits and tax — your business permit, FDA LTO (if applicable), BIR registration, official receipts, and tax filings remain your obligation. Mag!c does not issue receipts on your behalf.
- Order fulfillment — accepting, preparing, and handing off orders within the times you set, and updating status honestly in the dashboard.
- Cash orders — if you enable cash on delivery or cash at pickup, you accept the collection risk. Review each cash order before confirming; Mag!c does not reimburse no-shows, refused payments, or uncollected cash.
- Refunds and customer issues — for problems with the food itself (missing items, wrong order, quality complaints), you handle the refund or remake. We provide the tools; the decision and the cost are yours.
- Payment details — keeping your GCash QR, payout details, and contact info correct and current.
- Your account — keeping your login secure and staff access limited to people you trust.
Customer responsibilities
- Give accurate contact and delivery info. Wrong addresses or unreachable numbers are not refundable.
- Pay for the order through a channel the merchant offers — online (e.g. GCash via the merchant's QR) or, where the merchant enables it, cash on delivery or cash at pickup.
- If you choose cash, have the full amount ready at handoff. Ordering cash-on-delivery with no intention or ability to pay harms a small business directly and may lead merchants to refuse your future orders.
- Be present and reachable for delivery or pickup within the merchant's window.
- Flag allergies and dietary needs directly with the merchant. Mag!c cannot verify ingredients on your behalf.
Orders and payment
An order placed through Mag!c is a contract between the customer and the merchant. Mag!c records it, displays it on the POS, and passes the information needed to fulfill it (and to book the courier where applicable). We are not a party to the food transaction.
Payments go directly from customer to merchant — online via the merchant's own payment channels (e.g. GCash QR), or in cash where the merchant has enabled cash on delivery / cash at pickup. Mag!c does not hold, insure, or guarantee customer payments for food, whether digital or cash.
Cash ordersare offered at the merchant's sole discretion and risk. A cash order is not final until the merchant reviews and accepts it, and merchants may set a maximum cash amount or decline any cash order before confirming. Collection of the cash at handoff is strictly between customer and merchant.
Subscription, wallet, and platform fees
Running a shop on Mag!c is free until September 1, 2026 (merchants who join later get at least a 30-day free trial). After that, the platform charges a flat subscription — currently ₱249/month or ₱2,689/year — with no commission per order. Current pricing is always shown on the pricing page and in your dashboard billing settings; price changes follow the 14-day notice rule below.
- How it's collected— the fee is debited automatically from your Mag!c wallet on your billing date. We email a receipt for every charge, and a reminder beforehand if your balance won't cover it.
- If the wallet is short— we retry daily for a short grace period and notify you. If the fee still can't be collected, your public storefront is paused (it stops accepting orders) until the fee is paid. Your dashboard and your data are never locked. Paying the outstanding fee reactivates the storefront automatically, and late payment is never back-billed for the paused period.
- Wallet credits — the wallet is a prepaid balance used for courier fees, the subscription, and pay-per-use extras (e.g. abandoned-cart reminder emails beyond the monthly allowance included in your plan, priced in the dashboard where you send them). Credits are not a bank deposit, earn no interest, and have no cash value except as described here. If you close your account, you may request a refund of any unused balance, less third-party processing costs already incurred.
- Refunds of fees — subscription fees already collected are non-refundable except where required by law; switching plans takes effect at your next charge.
Delivery (Lalamove and other couriers)
When a Mag!c order is set for delivery, Mag!c books a courier on the merchant's behalf. The courier — currently Lalamove Philippines, Inc.— is the carrier of record. The rider is the courier's contractor, not the merchant's and not Mag!c's.
- Damaged, late, or undeliveredorders due to the courier's acts or omissions are governed by the courier's terms and claims process. Mag!c will help surface the claim but cannot decide it on the courier's behalf.
- Delivery fees displayed at checkout are quoted by the courier and may be adjusted by the courier if the actual route, weight, or wait time differs from the booking.
- Lost or stolen food during delivery is a courier matter. Mag!c can assist the merchant in filing a claim.
Loyalty, stamps, and promos
Stamp progress and promos belong to the issuing merchant. If a merchant leaves Mag!c, stamps with that merchant retire with them — we will give you 30 days' notice and an export of your progress. Stamps have no cash value and are not transferable between merchants.
Acceptable use
You agree not to use Mag!c to:
- Sell anything illegal under Philippine law, including unlabeled alcohol to minors, controlled substances, or counterfeit goods.
- Misrepresent your identity, your business, or your items.
- Scrape, reverse engineer, or attempt to circumvent the platform's access controls or rate limits.
- Send spam, harass other users, or use customer data outside of fulfilling and following up on their orders.
Suspension and termination
We can suspend or close an account that violates these Terms, that puts customers at risk, or that creates serious operational or legal exposure for Mag!c. Where it's safe and fair to do so, we will tell you first.
You can close your account at any time from your settings, or by emailing hello@mise-group.com. Outstanding obligations — like unpaid platform fees or pending orders — survive the closure.
Disclaimers
Mag!c is provided “as is”. We work hard to keep it fast and reliable but we do not guarantee uninterrupted service. We are not liable for the safety, quality, legality, or fitness of food prepared by merchants, nor for the conduct of couriers, nor for the actions of customers.
Where the Philippine Consumer Act (RA 7394), the Civil Code, or other applicable law gives a customer rights against the merchant or courier that cannot be waived, those rights stand. Nothing in these Terms tries to remove them.
Limitation of liability
To the maximum extent allowed by Philippine law, Mag!c's total liability to a merchant or customer arising from use of the platform is capped at the platform fees that merchant paid to Mag!c in the 3 months before the claim, or PHP 5,000, whichever is higher. We are not liable for indirect, incidental, or consequential losses — including lost profit, lost goodwill, or food spoiled in transit.
Changes to these Terms
We may update these Terms as the platform grows. Material changes will be emailed to active accounts and posted here at least 14 days before they take effect. Continued use after that date counts as acceptance.
Governing law
These Terms are governed by the laws of the Republic of the Philippines. Disputes will be brought before the proper courts of Metro Manila, without prejudice to a consumer's right to file with the DTI or another competent agency.
